Vendor Agreement for Zhongfei E-Commerce App
Effective Date: August 1, 2025
This Vendor Agreement ("Agreement") is made between Zhongfei ("Company," "we," "us," or "our") and the vendor ("Vendor," "you," or "your") who has registered to sell products on the Zhongfei e-commerce platform. By registering as a vendor, you agree to the terms and conditions set forth in this Agreement.
1. Acceptance of Terms
By creating a vendor account on Zhongfei, you agree to comply with all terms and conditions outlined in this Agreement, as well as any policies or guidelines provided by Zhongfei.
2. Vendor Account
2.1 Registration: To sell on the Zhongfei platform, you must complete the registration process and provide accurate and complete information.
2.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.
3. Product Listings
3.1 Product Eligibility: You may only list products that are legal, not prohibited by applicable laws, and comply with Zhongfei’s product guidelines.
3.2 Product Information: You agree to provide accurate, complete, and up-to-date information for each product listed, including descriptions, pricing, and images.
3.3 Compliance: You are responsible for ensuring that your products comply with all applicable laws, regulations, and safety standards.
4. Fees and Payments
4.1 Listing Fees: Zhongfei may charge fees for listing products on the platform. These fees will be outlined in your vendor account settings and may be updated periodically.
4.2 Transaction Fees: A percentage of each sale may be deducted as a transaction fee. This fee will be clearly communicated to you.
4.3 Payment Schedule: Payments for sold products will be processed according to the schedule outlined in your vendor account settings. You are responsible for providing accurate payment information.
5. Order Fulfillment
5.1 Order Processing: You agree to fulfill orders promptly and provide customers with accurate shipping information.
5.2 Shipping and Handling: You are responsible for the timely shipping and handling of products. You must communicate any delays or issues to the customer as needed.
5.3 Returns and Refunds: You agree to comply with Zhongfei’s return policy and to handle customer returns and refunds in a timely and professional manner.
6. Intellectual Property
6.1 Ownership: You retain ownership of any intellectual property rights associated with your products and listings. However, by listing products on Zhongfei, you grant us a non-exclusive, royalty-free license to use, display, and distribute your content for the purposes of operating the platform.
6.2 Infringement: You agree not to infringe on the intellectual property rights of others and to take responsibility for any claims related to your products.
7. Termination
7.1 Termination by Vendor: You may terminate this Agreement at any time by closing your vendor account.
7.2 Termination by Zhongfei: We reserve the right to terminate your account or this Agreement at our discretion, including but not limited to violations of this Agreement or applicable laws.
8. Limitation of Liability
Zhongfei shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform or this Agreement. Our total liability to you shall not exceed the amount of fees paid by you to Zhongfei in the preceding 12 months.
9. Indemnification
You agree to indemnify and hold harmless Zhongfei, its affiliates, and their respective officers, directors, and employees from any claims, losses, liabilities, damages, costs, or expenses arising from your use of the platform, your products, or your breach of this Agreement.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from this Agreement shall be resolved in the courts of Republic of Ghana.
11. Amendments
Zhongfei reserves the right to amend this Agreement at any time. We will notify you of any changes by posting the updated Agreement on our platform. Your continued use of the platform after any amendments constitutes your acceptance of the revised terms.
